Legend

Everything on the site comes from SEC Forms 4 and 4/A, the reports company insiders must file within two business days of trading their own company's stock.

Row colors

GreenOpen-market purchase (code P). The insider paid their own money for shares.
RedOpen-market sale (code S).
YellowSale after option exercise (S - Sale+OE): the same filing reports an option exercise (code M or X) and a sale, so the shares sold were typically just acquired by exercising options.
NoneEverything else: grants, tax withholding, gifts, exercises without a sale, and so on.

Columns

XFlags for the filing. D derivative transaction in the filing (usually an option exercise). M multiple transactions aggregated into the row: the earliest date and the volume-weighted average price are shown. A amended filing (Form 4/A). T made under a Rule 10b5-1 pre-arranged trading plan. I indirectly held, e.g. through a trust, spouse or fund.
FiledDate and time (US Eastern) the SEC accepted the filing. Filings arrive up to two business days after the trade.
TradedTransaction date. A + means the row covers several days; hover for the last one.
TitleThe insider's relationship to the company, abbreviated (see below).
TypeSEC transaction code with a short label (see below).
PricePrice per share. With several transactions in a row it is the volume-weighted average.
QtyShares acquired (+) or disposed (−). Large numbers are abbreviated (K thousand, M million, B billion); hover for the exact figure.
OwnedShares owned after the transaction, as reported.
ΔOwnChange in holdings as a percentage of shares owned before the transaction. New means the insider reported no prior holdings.
ValueQuantity times price. Negative for sales. Blank if the filing reports no price (typical for grants).
InsOn cluster tables: number of distinct insiders who bought in the window.

Cluster buys

A cluster is two or more distinct insiders buying the same company's stock on the open market within a rolling two-week window. Several insiders committing their own money at once is one of the stronger signals in insider data, which is why it gets its own list.

Aggregation

A filing often reports many small trades. Lists show one row per insider, transaction code and security table (common stock or derivatives) per filing, with quantities summed and price volume-weighted, the same convention openinsider uses. The filing page shows every underlying transaction.
