(the "Issuer") for the 2024-2025 service year. Each RSU represents a contingent right to receive one share of common stock ("Shares"). The RSUs vested on May 13, 2025, the date of the Issuer's 2025 Annual General Meeting of Shareholders. (F2) Reflects the amount of securities beneficially owned as of the date hereof rather than the amount of securities beneficially owned following the reported transaction. (F4) These securities are held for the account of STS Master Fund, Ltd. Deer Park serves as investment adviser to STS Master Fund, Ltd. (F3) All income derived in connection with Ms. Hickok's service as a director on the Issuer's board of directors ("Board") belongs, in economic terms, to STS Master Fund, Ltd. Scott Edward Burg is the Chief Investment Officer of Deer Park and the sole member of AgateCreek. Each Reporting Person disclaims beneficial ownership of the Shares except to the extent of his or its pecuniary interest therein, and this report shall not be deemed an admission that such Reporting Person is the beneficial owner of the Shares for purposes of Section 16 of the Securities Exchange Act of 1934, as amended (the "Exchange Act"), or for any other purpose. |
