The 546 RVMTP shares reported as acquired in Table I represent RVMTP Shares indirectly beneficially owned by JPMCB, of which, (a) 275 RVMTP Shares are held in a trust designated as the J.P. Morgan Taxable Putters/Taxable Drivers, Series 5059 Trust and (F2) (Continued from footnote 1) (b) 271 RVMTP Shares are held in a trust designated as the J.P. Morgan Taxable Putters/Taxable Drivers, Series 5060 Trust. JPMCB, as a beneficiary of each of these trusts, and through its contractual rights, retains an indirect beneficial ownership in the RVMTP Shares. (F3) In addition to the 546 RVMTP Shares reported in Table I above, 244 RVMTP Shares of the Issuer are held indirectly beneficially held by JPMCB in a trust designated as the J.P. Morgan Taxable Putters/Taxable Drivers, Series 5058 Trust as reported in the Form 4 filing filed by JPMCB with the United States Securities and Exchange Commission filed July 1, 2024. |
