In addition, pursuant to the Merger Agreement, at the Effective Time, each SASR restricted stock unit held by the reporting person as of immediately prior to the Effective Time became fully vested, was cancelled and was converted into a right to receive 0.900 shares of AUB common stock for each share of SASR common stock underlying such restricted stock unit, with cash payable in lieu of any fractional shares, plus, if applicable, an amount in cash equal to any dividend equivalents with respect thereto.
