(the "Issuer") and a Managing Director of Silver Lake Group, L.L.C. ("SLG"). The shares subject to this award shall vest on the earlier of (i) the first anniversary of the date of grant and (ii) the date of the Issuer's next annual meeting of stockholders, subject to Mr. Whitehurst's continuous service through the vesting period.
