On January 1, 2025, the Reporting Person entered into a new employment agreement, pursuant to which the Reporting Person was also granted an award of 200,000 restricted stock units. It was the understanding of the parties that the stock option would be terminated at the time that the restricted stock units were granted, but such termination was not completed. Accordingly, on May 6, 2025, the parties entered into a letter agreement to terminate the stock option and the shares of class B common stock that have previously vested pursuant to the stock option.
