(F2) On September 18, 2025, TV Partners entered into a securities purchase agreement, pursuant to which TV Partners sold and transferred an aggregate of 7,500,000 Class B ordinary shares of the Issuer to Yorkville Acquisition Sponsor II, LLC, a third party, on the same day (the "Sale"). (F3) As previously reported on the Form 4 of TV Partners and E. Scott Crist filed on April 28, 2025, immediately prior to the Sale, TV Partners directly held 7,500,000 Class B ordinary shares of the Issuer. As a result of the Sale, TV Partners currently holds no Class B ordinary share of the Issuer. |
